FIREBALL TERMS AND CONDITIONS
1) I am of legal age in the state of my residency. I agree that I am an independent contractor, responsible for determining my own business activities and not an agent, employee or legal representative of the Company. I will not represent in any manner that I am an agent or representative of the Company. I am responsible for the payment of all federal and state self-employment taxes and any other tax required under any federal, state or regulatory taxing agency. I am responsible to pay all applicable taxes.
2) This position does not constitute the sale of a franchise or of an Independent Associate and no fee or purchase for participation as an Independent Associate has been required by me.
3) I agree that as a Fireball Computing Services Independent Associate, I shall place primary emphasis upon the selling and distributing of Company products to ultimate consumers. Independent Associates resident in the States of Maine, North Dakota, Michigan, Indiana, and West Virginia are limited to $495.00 in purchases as an Independent Associate from the Company during the first six months of Independent Associate status (purchases with customer funds not included). Permissible Independent Associate purchases shall be automatically modified to comply with the exemption requirements set forth in any states’ laws regulating business opportunities.
4) In presenting Fireball Computing Services products and the Independent Associate positions to prospects, I agree that such presentations shall be strictly according to the following format and that I will be terminated as an Independent Associate if I fail to comply:
a) In each presentation of the Independent Associate position, the prospect shall be directly informed that no payment or purchase is required to become a Fireball Computing Services Independent Associate.
b) The prospect shall receive a complete product presentation prior to any discussion whatsoever concerning the Independent Associate position.
5) I agree that I shall sell and/or distribute the majority in dollar cost (over 50%) of my wholesale product orders to non-Independent Associate consumers prior to reordering product. Retail sales records shall be maintained and subject to review and verification upon Company written request.
6) In order to maintain a viable Marketing Program and to comply with changes in federal, state or local laws in economic conditions, Fireball Computing Services may provide additional Terms and Conditions for Independent Associates from time to time, as well as modify its Independent Associate Compensation program. Such Policies and Procedures and Compensation Plan modifications, and all changes thereto, shall become a binding part of this Agreement upon publication in the official Fireball Computing Services Independent Associate Newsletter and/or other official company information pieces.
7) I understand that no attorney general or other regulatory authority ever endorses or approves any product, compensation program or company, and will make no such claims to others.
8) I understand that my Independent Associate position can be inherited or bequeathed, but cannot be transferred or assigned during my lifetime without written consent of the Company which consent will not be unreasonably withheld. Six months of continuous inactivity as an Independent Associate by virtue of not selling or purchasing a minimum $150 product order shall result in automatic termination of Independent Associate status.
9) This agreement shall be deemed in effect upon its receipt and acceptance by Fireball Computing Services, at its Home Offices, Indianapolis, Indiana. Annual renewal $19.95.
10) I will not promote my Independent Associate business using the Company name, or the trade names, logos, trademarks or service marks of Fireball Computing Services. I understand that unauthorized use or duplication of trademarks or copyrighted materials is a violation of federal law. Misrepresentations of the Marketing Plan or unauthorized use of the Company name or trademarks are grounds for termination and could result in legal damages. Only official applications and other approved forms may be reproduced.
11) I am responsible for supervising and supporting Independent Associates I sponsor into the program and in my commissionable downline. I agree to maintain monthly communication and support to those Independent Associates in my commissionable downline by way of any of the following, or combination thereof: Personal contact, telephone communication, written communication, and attendance at Independent Associate meetings.
12) Fireball Computing Services provides the following fulfillment to its Independent Associates: A new Independent Associate’s packet of sales literature whether or not the optional sales kit is purchased; shipment of ordered sales aids and products within ten days of receipt of order and clearance of funds, subject to availability of items ordered; calculation and payment of Independent Associate commissions. Payment terms on Independent Associate purchases; check, money order or credit card with order. No credit purchases or C.O.D.’s available. Commissions are payable to Independent Associates according to the Compensation Plan which is incorporated herein by reference.
13) I will not make false or misleading statements about Fireball Computing Services Independent Associate positions or Company products. Display of commission checks and the making of specific income projections to prospective Independent Associates is prohibited.
14) Independent Associates in the same household or business shall have the same sponsor. Change of original sponsor is not permitted. Independent Associate and customer lists and names are owned by Company and may never be used for any commercial purpose without prior written consent of Company. During the terms of this Agreement and for 90 days thereafter, Independent Associate shall not, directly or indirectly, solicit Independent Associates or customers of Fireball Computing Services to other network marketing organizations, except as to personally sponsored Independent Associates/customers.
15) This Agreement is governed under the laws of the State of Indiana. The parties agree that any claim, dispute or other difference between them shall be exclusively resolved by binding arbitration pursuant to the Commercial Arbitration Rules of the American Arbitration Association with arbitration to occur at Indianapolis, Indiana. Louisiana Independent Associates arbitrate at New Orleans, Louisiana.
16) Independent Associates may return literature and products in good and reusable condition at any time within (30) thirty days of purchase and receive 90% refund less taxes and shipping. Shipping costs for returned items shall be borne by Independent Associate. Payment will be made within thirty days of actual receipt of returned items. The Company will honor refund policies provided by any state or federal law applicable to Independent Associate. (New Mexico – one year; Georgia – no time limitation; Massachusetts – no time limitation as to obligated commission qualification wholesale purchases.)
